Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the Collimate managed sandbox cloud, including our APIs, SDKs, Model Context Protocol (MCP) server, web console, websites, and related services (together, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.The Service
Collimate provides on-demand, isolated cloud compute environments (“Sandboxes”) — lightweight virtual machines in which you can run code, including code generated by AI models and agents, and reinforcement-learning and other compute workloads. We offer the Service through APIs, SDKs, an MCP server, and a web console, across different plans (for example, a free Demo tier, a usage-metered Pro tier, and a custom Enterprise tier). Features, limits, and quotas differ by plan and may change as described in these Terms.
You are responsible for configuring, operating, and securing your use of Sandboxes and for all code, data, models, and instructions you run in them.
2.Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
- You must provide accurate account information and keep it current. You are responsible for all activity under your account.
- You may sign in using a supported identity provider (such as Google or GitHub). You are responsible for maintaining the security of the credentials you use.
3.API keys & security
API keys authenticate requests to the Service and are secrets. You must keep your API keys confidential, must not share or expose them (for example, in client-side code or public repositories), and are responsible for all usage and charges incurred under your keys. Notify us promptly at security@collimate.ai if you believe a key has been compromised. We may rotate, scope, or revoke keys to protect the Service.
4.Acceptable use
You may run untrusted and AI-generated code inside your own Sandboxes — that is a core purpose of the Service. You must not, however, use the Service to harm others or to do any of the following, and you must not permit anyone else (including end users of your application, or an AI agent acting on your behalf) to do so:
- Violate any applicable law or regulation, or infringe or misappropriate any third party’s intellectual property, privacy, or other rights;
- Use the Service to launch or facilitate attacks against, or gain unauthorized access to, any system, network, account, or data you are not authorized to access (including denial-of-service attacks, unauthorized scanning or intrusion, credential stuffing, or spam/phishing campaigns);
- Develop, host, or distribute malware, ransomware, or other malicious code intended to harm third parties, or use the Service as command-and-control infrastructure for such activity;
- Attempt to break out of Sandbox isolation, access other customers’ environments or data, probe or circumvent our security or metering, or interfere with the integrity or performance of the Service;
- Mine cryptocurrency or run other disproportionately resource-intensive workloads except where expressly permitted by your plan;
- Generate, store, or distribute content that is unlawful (such as child sexual abuse material), or that harasses, threatens, or defames others;
- Exceed the rate limits, concurrency limits, or quotas of your plan, or take actions designed to evade them; or
- Resell, sublicense, or provide the Service to third parties except as expressly permitted in writing.
Legitimate security research and testing against systems you own or are authorized to test is permitted. We may investigate suspected violations and may remove content, throttle, suspend, or terminate access as described in Section 13. We may also be required to report certain activity to authorities.
5.Your Content
“Your Content” means the code, data, files, prompts, models, outputs, and other materials you or your users submit to, generate in, or run through the Service. As between you and Collimate, you retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Your Content solely as necessary to provide, secure, maintain, and improve the Service and to comply with law.
You are solely responsible for Your Content and for having the necessary rights and permissions to use it with the Service. We do not routinely monitor Your Content, but we may access, preserve, or disclose it where reasonably necessary to operate the Service, enforce these Terms, ensure security, or comply with law. Our processing of personal data is described in our Privacy Policy; where you use the Service to process personal data on behalf of others, our Data Processing Addendum applies.
6.Free & beta features
The Demo tier and any features designated as beta, preview, or experimental are provided “as is,” may be changed or discontinued at any time, may have lower or no availability commitments, and may carry different limits. We may impose usage caps on free access and may suspend or discontinue free access at our discretion.
7.Fees, billing & Paddle
Paid plans are billed primarily on a usage-metered basis (for example, per compute-second of CPU and memory, and for storage and snapshots), and may include recurring subscription fees. Metered charges reflect resources you have already consumed. Suspending a Sandbox pauses metering for its running compute; stored snapshots may continue to incur storage charges. Current prices and the units we meter are shown on our pricing page and in the console.
Our order process and payments are conducted by our online reseller and Merchant of Record, Paddle.com. Paddle.com is the Merchant of Record for all orders placed through the Service. Paddle handles order-related inquiries, invoicing, and taxes, and its Buyer Terms and Privacy Notice apply to your purchase in addition to these Terms.
- Taxes. Prices may be exclusive of taxes. Paddle, as Merchant of Record, calculates, collects, and remits applicable VAT, GST, sales, and similar taxes.
- Payment & delinquency. Charges are due when invoiced. If a payment fails or an account is past due, we may suspend or limit the Service after reasonable notice, and you remain responsible for amounts owed.
- Price changes. We may change prices or metered rates prospectively. For recurring fees, we will give at least 30 days’ notice before an increase takes effect at your next renewal.
- Refunds. Refunds are governed by our Refund Policy.
8.Intellectual property
The Service, including all software, documentation, and content we provide (excluding Your Content), and all related intellectual property rights, are owned by Collimate and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. You must not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law or an applicable open-source license.
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
9.Third-party services
The Service runs on third-party infrastructure (including cloud providers) and may interoperate with third-party services you choose to use. We are not responsible for third-party services, and your use of them is governed by their terms.
10.Warranties & disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. You are responsible for evaluating whether the Service is appropriate for your use and for maintaining backups of Your Content. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
11.Limitation of liability
To the maximum extent permitted by law, Collimate and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us (via Paddle) for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) US $100. These limitations apply regardless of the theory of liability and are a fundamental basis of the bargain between us. Nothing in these Terms limits liability that cannot be limited under applicable law.
12.Indemnification
You will defend, indemnify, and hold harmless Collimate and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your breach of these Terms or violation of any law or third-party rights.
13.Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, in whole or in part, if you breach these Terms (including the Acceptable Use section), fail to pay, create risk or legal exposure for us or others, or if required by law. Where practical and lawful, we will give notice. We may suspend immediately without prior notice in cases of security risk, abuse, or legal necessity.
On termination, your right to use the Service ends. We may delete Your Content and account data after termination in accordance with our retention practices; you are responsible for exporting anything you need beforehand. Sections that by their nature should survive (including fees owed, IP, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
14.Changes to the Service or Terms
We continuously improve the Service and may add, change, or remove features. We will provide at least 30 days’ prior notice before discontinuing a material feature that is generally available to paying customers, except where a shorter period is required for legal or security reasons. We may update these Terms from time to time; if we make material changes, we will provide reasonable notice (for example, by email or in the console). Changes take effect on the stated effective date, and your continued use after that date constitutes acceptance.
15.Governing law & disputes
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction. This choice of law does not deprive consumers of protections guaranteed by the mandatory laws of their country of residence.
16.General
- Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, any DPA, and any order or plan terms, are the entire agreement between you and Collimate regarding the Service.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability & waiver. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may provide notices to you by email or through the console. Legal notices to us must be sent to legal@collimate.ai.
